Who we serve · Founders

A US company owned from abroad

You registered a Delaware or Wyoming LLC, or set up a C-Corp for the raise. The bank account exists, the revenue may not — and the IRS still wants an annual information return.

Structural risks

The three traps in an inbound structure

  • 01The $25,000 silence

A single-member LLC with a foreign owner files Form 5472 and a pro-forma 1120 every year, even with zero activity. The penalty is $25,000 per form per year and applies before any tax is owed.

  • 02The foreign parent above the LLC

Once you add an operating company abroad or a holding layer, Form 5471, GILTI (8992) and Subpart F may all attach — with a 10% ownership test, not a control test.

  • 03Related-party money with no paper

Founder reimbursements, intercompany loans and IP transfers are reportable transactions. Without contemporaneous records, the statute of limitations on those transactions never closes.
